Explanation of Responses:

1. These options were issued upon election by the director to receive her cash board retainer fee for the second half of 2020 in the form of an equity award, in lieu of cash, under the amended and restated non-employee director compensation policy and 362 shares will vest on September 30, 2020 and 361 shares will vest on December 31, 2020, subject to the director's continued service on the board of directors, provided that, all shares shall become fully vested upon a change in control of the Company.
